1. Acceptance of Terms

By accessing or using Setuverse (the "Service"), operated by Setuverse Solutions Private Limited (CIN: U62011MH2025PTC460537, GSTIN: 27ABRCS7908J1ZJ), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users including trial users, subscribers, and staff members added to any account.

2. Description of Service

Setuverse is a cloud-based billing and business management platform delivered as Software-as-a-Service (SaaS). The Service includes GST invoicing, inventory management, KOT billing, staff management, reporting tools, and a mobile application for Android devices.

The Service is intended for use by businesses operating within India. Features, pricing, and availability are subject to change with reasonable notice.

3. Account Registration

To use Setuverse, you must:

• Provide accurate and complete registration information
• Keep your login credentials confidential
• Be at least 18 years old or have the authority to bind your business to these terms
• Notify us immediately of any unauthorised access to your account

You are responsible for all activity that occurs under your account, including actions taken by staff members you add to your account.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, continued use of the Service requires a paid subscription. Trial accounts that are not converted to paid subscriptions will be deactivated and data will be deleted after 30 days.

5. Subscriptions & Billing

Setuverse subscriptions are billed annually. The current pricing is displayed on our website and is subject to change with 30 days' notice to existing subscribers.

• Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date
• A one-time non-refundable account setup fee applies at the time of first subscription
• All prices are in Indian Rupees (INR) and exclusive of applicable taxes
• GST will be charged as applicable under Indian tax law

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable Indian law or regulation
• Generate false, fraudulent, or misleading invoices or GST records
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or redistribute the Service without written permission
• Upload or transmit malware, viruses, or any malicious code
• Use the Service in a way that disrupts its availability for other users

Violation of acceptable use terms may result in immediate account suspension without refund.

7. Data Ownership & Privacy

You retain full ownership of the business data you enter into Setuverse — your customer records, invoices, products, and transaction history. We do not sell your data to third parties.

By using the Service, you grant Setuverse Solutions Private Limited a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. The Service includes an offline mode for core billing functions during connectivity outages.

No Service Level Agreement (SLA) with guaranteed uptime percentage is provided at the current pricing tier. For enterprise SLA requirements, contact us at admin@setuverse.com.

9. Intellectual Property

The Setuverse platform, including its software, design, branding, and documentation, is the intellectual property of Setuverse Solutions Private Limited. Nothing in these terms transfers any intellectual property rights to you. You may not use our name, logo, or branding without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Setuverse Solutions Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability to you for any claim arising under these terms shall not exceed the total subscription fees paid by you in the three months immediately preceding the claim.

11. Termination

Either party may terminate the subscription at any time. Upon termination:

• Your access to the Service will continue until the end of the current billing period
• Your data will be retained for 30 days after the subscription ends
• After 30 days, all data associated with your account will be permanently deleted
• We reserve the right to terminate accounts that violate these terms, without refund

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.

13. Governing Law & Disputes

These Terms of Service are governed by the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
